Terms of Service

These Terms govern use of the TempahHQ platform. They are a product-facing draft for early access. Have counsel review before relying on them as a binding production contract for your legal entity.

1. Agreement

By creating an account, signing in, or using TempahHQ (“Service”), you agree to these Terms of Service (“Terms”) and our Privacy Policy.

If you use the Service on behalf of a business, you represent that you can bind that business. “You” means the individual and/or that business.

2. The Service

TempahHQ is a multi-tenant appointment booking product with:

• Public book pages (/book/{slug})
• Owner/staff admin (/app)
• Online pay-to-confirm and payment links (Billplz per tenant)
• Industry labels/templates (not separate vertical ERPs)

Product laws (non-negotiable product behaviour):

1. A slot is not confirmed without successful payment at the gateway (subject to mock mode in non-production environments).
2. Full pay online is the default for fixed services.
3. Add-ons are collected via payment links; paid state comes from the gateway.
4. There is no primary “staff mark paid cash” happy path.

We may change features, availability, and early-access pricing. Material changes to these Terms are described in §15.

3. Accounts and eligibility

• You must provide accurate signup information.
• Keep credentials confidential; you are responsible for activity under your account.
• Owners control staff access within their tenant.
• We may suspend accounts for security, abuse, non-payment of platform fees (including the activation fee), or Terms violations.

Self-serve signup may be closed temporarily (SIGNUP_ENABLED). Contact hello@tempahhq.com if signup is unavailable.

4. Your business content and responsibilities

You are solely responsible for:

• Accuracy of business name, services, prices, staff, hours, and cancellation policy text
• Compliance of your services with Malaysian and local law
• Customer-facing promises (refunds, reschedules, service quality)
• Configuring and securing your Billplz keys and collection
• How you use customer contact details outside transactional TempahHQ messages

You grant us a limited licence to host and process your content only to operate the Service.

5. End customers and public booking

When someone books on your public page:

• They form a service relationship primarily with your business, not TempahHQ as the service provider of the haircut/session/etc.
• TempahHQ provides software and payment orchestration as described in Data roles and Data Processing Terms.
• You must handle customer service for the appointment itself (location, quality, refunds of the service fee subject to gateway and your policy).

6. Payments

6.1 End-customer payments

• End-customer payments use your Billplz merchant configuration (per tenant).
• TempahHQ is not the merchant of record for those payments.
• Gateway fees, settlement, chargebacks, and Billplz account issues are between you and Billplz (and the customer as applicable).
• Wrong keys, sandbox/live mix-ups, or incomplete setup can block booking; see product readiness checks in the admin app.

6.2 Platform fees

• A one-time activation fee of RM50 is charged when a self-serve business activates their public booking page. This fee is paid to TempahHQ via Billplz. For this transaction, TempahHQ is the merchant of record.
• The activation fee is non-refundable once the business has activated, except where required by Malaysian consumer protection law or at TempahHQ’s sole discretion.
• TempahHQ may introduce recurring subscription billing in the future. Existing activated businesses will be notified at least 30 days before any recurring charge begins.

6.3 Refunds

• End-customer charges: Refunds are executed via the payment provider and your business policies—not by TempahHQ “wallet” balance. We may provide tools to recheck payment status or support dispute investigation.
• Platform activation fee: See §6.2 (non-refundable after activation, subject to law and TempahHQ discretion).

7. Acceptable use

You must not:

• Break the law or facilitate illegal services
• Attempt to access other tenants’ data
• Probe, overload, or disrupt the Service (except authorised security research disclosed responsibly)
• Bypass pay-to-confirm, forge webhooks, or misrepresent payment status
• Upload malware, scrape at abusive rates, or reverse engineer except as allowed by law
• Use the Service to send spam or unlawful marketing
• Misrepresent affiliation with TempahHQ

We may investigate and suspend or terminate access for violations.

8. Intellectual property

TempahHQ, its branding, software, and documentation remain ours (or our licensors’). These Terms do not transfer ownership. Feedback you provide may be used to improve the product without obligation to you.

9. Confidentiality of credentials

Billplz API keys, session tokens, and similar secrets must be kept confidential. Do not commit secrets to public repositories or share them in support tickets beyond secure channels.

10. Privacy

Our processing of personal data is described in the Privacy Policy. For end-customer data you collect through the Service, you agree to the Data Processing Terms where you act as the business determining purposes of that customer data.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” during early access. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted availability, error-free operation, or that Billplz or third-party networks will always succeed. Slot confirmation depends on gateway outcomes and correct tenant configuration.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
• OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE PLATFORM IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) MYR 500.

Nothing in these Terms limits liability that cannot be limited under applicable law (e.g. fraud, death or personal injury caused by negligence where such limitation is forbidden).

We are not liable for disputes between shops and their end customers about service quality, refunds, or attendance.

13. Indemnity

You will defend and indemnify TempahHQ against claims arising from: your services; your content; your misuse of the Service; your Billplz configuration; or your violation of law or these Terms—except to the extent caused by our wilful misconduct.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for Terms violations, risk to other tenants, legal requirements, or prolonged inactivity in early access.

Upon termination we may delete or de-identify data per the Privacy Policy and operational needs, subject to legal retention.

15. Changes

We may update these Terms. The version and date at the top will change. Continued use after changes take effect constitutes acceptance, except where mandatory law requires explicit re-consent. For material changes we will try to notify shop owners via email or in-product notice.

16. Governing law

These Terms are governed by the laws of Malaysia, without regard to conflict-of-law rules. Courts in Malaysia have exclusive jurisdiction, subject to any non-waivable consumer protections that apply.
